GENERAL COUNSEL
Hours and Location: (Full-time - Non-Exempt) 1.0(FTE) 40 hours per week, 8am-5pm with some evenings and weekends, remote/onsite/hybrid.
Pay Range: Starting at $225,000 annually, Competitive based on experience and education.
Supervisor: President & CEO with dotted line to Vice President
Scope: A General Counsel plays a crucial role in providing legal advice and ensuring compliance with laws and regulations within an organization. The General Counsel will be able to lead on projects, from conception to completion, and must be able to work under pressure at times to handle various activities and confidential matters with discretion. The General Counsel must be creative and enjoy working in a mission- driven, results-driven and community-oriented. The ideal individual will have the ability to exercise good judgment in a variety of situations, with strong written and verbal communication, administrative, and organizational skills, and the ability to maintain a realistic balance among multiple priorities.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Legal Counsel and Compliance Support
- Provides leadership to build relationships crucial to the success of the organization and manages a variety of special projects for the President & CEO or C-Suite Executive’s, some of which may have organizational impact.
- Provide Legal Advice: Offer guidance on a wide range of legal and regulatory issues.
- Draft and Review Documents: Prepare, review, and negotiate contracts, agreements, and internal policies.
- Ensure Compliance: Ensure the company's operations comply with laws and regulations.
- Legal Research: Conduct research and analysis on legal matters relevant to the company.
- Represent the Company: Represent the company in legal proceedings and liaise with external legal counsel.
- Risk Management: Identify potential legal risks and develop preventive measures.
- Training: Conduct training sessions for staff on legal matters and compliance requirements.
- Develop an understanding of the formal structure, role and purpose of the organization, its relationship with key partners and interface appropriately.
- Organize, prepare and/or provide the necessary materials and documentation for meetings, including Board of Directors meetings. Work cross-functionally to determine appropriate content.
- Prepare meeting agendas in advance; assists with all meeting preparation activities including research/background information and the creation, content development and/or proofreading of presentations for meetings.
- Accompany the President & CEO or C-Suite Executive to various meetings, as needed.
Administrative Support
- Assume responsibility for various clerical and administrative tasks including screening of phone calls, copying, filing and making travel arrangements.
- Supervise the daily activities of support staff and volunteers.
