The Position:

The General Counsel (GC) serves as the primary legal advisor to the healthcare organization. This role is responsible for overseeing all legal matters and ensuring compliance with healthcare regulations, laws, and policies. The GC will work closely with the Executive Leadership Team and other stakeholders to address legal risks, manage corporate governance, and provide strategic legal advice to support the organization’s mission, vision and values.


Essential Duties and Responsibilities:

Legal Leadership

· Provide expert legal counsel on a broad range of healthcare-related issues including regulatory compliance (e.g., HIPAA, FDA regulations), corporate governance, contracts, patient care, and employee relations.

· Oversee and manage outside counsel when necessary, ensuring high-quality legal services are provided to the organization.

· Guide senior leadership on key legal risks and develop strategies to mitigate these risks.

Regulatory Compliance

· Ensure compliance with federal, state, and local laws and regulations governing the healthcare industry.

· Oversee healthcare regulatory matters, including licensure, accreditation, and adherence to healthcare fraud and abuse laws.

· Stay current on evolving healthcare laws, regulatory changes, and trends that impact the organization.

Contract Management

· Oversee the drafting, review, and negotiation of contracts, including agreements with vendors, insurance providers, medical professionals, etc.

· Provide counsel on corporate transactions, mergers, acquisitions, and partnerships.

Litigation and Dispute Resolution

· Represent the organization in legal proceedings, including arbitrations, mediations, and litigation when necessary.

Corporate Governance

· Advise the Board of Directors and executive leadership on corporate governance best practices and ensure the organization is compliant with applicable laws.

· Maintain corporate records and filings for the organization, ensuring compliance with statutory obligations.

Risk Management

· Identify potential legal risks to the organization and its operations and develop strategies to mitigate or eliminate those risks.

· Implement training programs for staff and leadership on legal and compliance matters.

Employment Law

· Provide legal guidance on employment practices, including labor relations, employee disputes, discrimination, wage and hour issues, and compliance with employment laws.

Healthcare Transactions

· Oversee and advise on the legal aspects of healthcare transactions, including acquisitions, mergers, joint ventures, and healthcare financing arrangements.


This job might be for you if you have:

· Juris Doctor (JD) degree from an accredited law school.

· Licensed to practice law in South Carolina.

· Minimum of five years of experience as a practicing attorney, with a significant portion of that time focused on healthcare law or in a healthcare-related in-house role.

· Proven experience with regulatory compliance, including healthcare-specific regulations such as HIPAA, the Affordable Care Act, Stark Law, Anti-Kickback Statute, and FDA regulations.

· Experience in managing legal disputes, contract negotiations, corporate governance, and risk management in a healthcare setting.

· Strong knowledge of healthcare laws, regulations, and industry standards.

· Exceptional legal analysis, problem-solving, and decision-making skills.

· Ability to communicate complex legal issues in a clear and actionable manner to non-legal stakeholders.

· High attention to detail and the ability to manage multiple priorities in a fast-paced, dynamic environment.
