Division General Counsel (Andromeda)
Perseus Management Group Inc. is seeking candidates for the role of Division General Counsel to support the Perseus Operating Group’s Andromeda Division of vertical market software companies. The Perseus Operating Group, a portfolio of Constellation Software Inc. (TSX: CSU), acquires and operates independently managed vertical market software companies throughout the world, and provides them with the strategic guidance and financial security they need to become leaders in within their respective markets. This role offers the opportunity to join a growing international conglomerate and to be a catalyst for improvement. The General Counsel for the Andromeda Division will report to the CEO of the Andromeda Division of the Perseus Operating Group and will provide advice and support to the companies within the Andromeda Division, which are located in the U.S., Canada, UK, Pakistan, and India, and include software companies that serve the real estate industry, and will lead the team of attorneys supporting the Andromeda Division. The General Counsel of the Andromeda Division will collaborate with personnel in a variety of time zones.
Location: Hunt Valley, Maryland (hybrid 2-3 days/week in office)
Responsibilities:
Lead the legal team that supports the Andromeda Division companies on a wide range of legal, regulatory, business, and M&A matters, and support and work closely with Andromeda senior management on strategic planning and decentralization efforts.
Provide training and mentoring for portfolio attorneys, and assistance where needed, on a broad range of commercial contracting, M&A, corporate governance, risk management, privacy, and other legal matters for decentralized Andromeda Division businesses in industries including residential real estate, digital marketing, lending, mortgage technology, real estate data and analytics, financial planning, staffing, and other industries.
Oversee Andromeda Division companies’ adoption of and adherence to best practices and corporate standards established by Perseus, including but not limited to contract negotiation and approval guidelines and best practices, risk management and claims accrual processes, and legal matter management and reporting processes.
Provide training and mentoring to portfolio attorneys, and assistance where needed, as they support the Andromeda Division companies’ various go to market endeavors and initiatives and advise on other commercial initiatives which may include compliance activities and policies.
Work with portfolio attorneys on aspects of M&A for companies being acquired into the Andromeda Division, including assisting in acquisition structuring conversations, supporting legal due diligence efforts, and managing transition of new portfolio companies onto Perseus-standard contracts and best practices during the integration process.
Support the Andromeda Division legal team’s continuous improvement efforts through development and refinement of playbooks, policies, templates, and processes for Andromeda Division companies; coordinate training and awareness activities for Andromeda Division companies to implement and improve adoption of processes and best practices.
Other tasks may include providing legal advice and support for pre-litigation customer and vendor disputes and compliance issues for Andromeda Division businesses, as well as dispute resolution and litigation management.
Requirements:
Ten years or more of relevant experience, preferably working with a large law firm and/or in-house, including:
Substantial experience in software licensing, SaaS, and e-commerce
Advanced knowledge of technology law and contract law
Strong experience leading all aspects of M&A transactions, providing pragmatic, business-minded legal guidance on legal due diligence and negotiation of transaction documents
Working knowledge of data privacy laws, commercial marketing laws, and software export control laws is a plus
Deep knowledge and strategic understanding of information technology industry, and an ability to anticipate the strategic implications of proposed transactions, in particular, current knowledge of software licensing, SaaS and e-commerce
Self-motivated, practical, and business-minded with a high sense of professional ethics, integrity and diplomacy.
Excellent English and communication skills, both oral and written.
Must have good research and strong time management skills.
Possess a strong working knowledge of Word, Excel and other Microsoft Office programs.
Must be able to work well both independently and collaboratively with others in a fast-paced, team environment.
Experience working with a global organization including the US and Canada, and/or an acquisitive growth-oriented organization is a plus, and willingness to expand skill set to support additional international jurisdictions is a must.
Light travel possible.
