Role Title: Corporate Counsel

Summary of the role:
You will become an integral part of a dynamic team providing effective legal support to EXL’s Platform businesses, enterprise partnerships, vendor engagements, and matters pertaining to EXL’s international headquarters in Ireland. In this role, you will support EXL’s Legal Team in the delivery of accurate, timely, high-quality, solution focused and commercially minded legal advice across the full range of legal issues encountered by the business.
Key Responsibilities:
Platform Businesses / Technology Transactions:
- Review, draft, negotiate and close a broad range of technology agreements, such as software licensing, SaaS, hosting, and technology services to support client engagements for EXL’s platform businesses.
- Ensure contractual arrangements comply with company policies and processes, applicable laws and regulations, including data privacy and security requirements (e.g., GDPR, CCPA/CPRA)
- Work closely with cross functional teams (e.g., product, sales, operations, technology) to address legal issues and mitigate risks
- Provide strategic and programmatic advice and support on legal and regulatory requirements of technology implementation and usage
- Serve as the day to day legal point on contractual queries and matters of contract interpretation
- Assist in the continuous improvement of template agreements for platform businesses for efficient and consistent contract management
- Collaborate closely with the rest of the Legal team to implement company policies, processes, and standards.
- Stay abreast of legal and industry developments relevant to the company’s business, including evolving data privacy laws and regulations
Enterprise Partnerships / Vendor Agreements:
- Review, draft and negotiate partnership and vendor agreements to support the various needs of the Business, Commercial and Technology teams.
- Provide strategic and programmatic advice and support on contractual, legal and regulatory requirements and industry standards relevant to the type of partnership and vendor contracts.
- Assist in the development and continuous improvement of template agreements and contracting guidelines for partnership and vendor contracts.
General Legal Counsel
- Support Assistant General Counsel in the strategy, management and protection of EXL’s Irish entity
- Work closely with cross functional teams to address legal issues and mitigate risks
- Support the provision of sound, business-oriented legal advice on various Irish and EU points of law.
- Stay abreast of legal and industry developments relevant to the company’s business
- Liaise with external counsel and assist in litigation management, where applicable.
- Assist in the drafting and development of various policies and procedures.
As part of your duties, you will be responsible for:
- Maintaining the highest professional standards and integrity
- Achieving efficiencies and cost effectiveness where possible
- Acting in the best interests of EXL, to advise the organisation (both from an Irish and global perspective) in connection with BAU and commercial activities
- Providing pragmatic, solution-focused legal advice including identification and mitigation of legal and other associated risks
- Timely and high-quality delivery of projects which support achievement of the strategic objectives
Qualifications and experience we consider to be essential for the role:
- A qualified Solicitor/Barrister with experience commensurate to 3 – 7 years PQE
- Minimum 3-7 years of relevant legal experience in technology and commercial transactions including some level of intellectual property experience
- A mix of law firm and In-house experience preferable
- Graduate/ Post Graduate degree in Law, with good academic background.
- Data and privacy experience
- Financial services or similar regulated industry experience
- Excellent organizational skills
