Cerberus is seeking an attorney to join the legal group for a market leading investment management team that specializes primarily in acquiring, financing and securitizing residential mortgage loans and single-family residential properties in the U.S. and abroad.  As a member of the legal group for a fast-paced, structured products investment team, the attorney will provide legal support for the team’s entire portfolio of investments and the various service providers and portfolio companies that support these initiatives.  The candidate will also work directly with the investment management team to structure, implement and manage its investment programs.  The attorney will be required to have a general knowledge of asset-backed securitizations and have experience in bond offerings and financings, purchase and sale agreements, risk retention compliance and debt structuring.  


Responsibilities:

  • Provide legal advice, review, draft and negotiate documentation and provide all related legal transaction management activities for:
    • Asset-backed securitization transactions;
    • Loan purchase and sale agreements;
    • Letters of intent and bid letters;
    • Structured bilateral facilities;
    • Master repurchase agreements; and
    • Trust, custodial and servicing agreements.
  • Advise on legal, regulatory and reputational risks arising in connection with transactions and work closely with the wider Cerberus legal and compliance teams on securities and capital markets legal matters.
  • Coordinate with internal and external teams on the development and structuring of new transactions.

Qualifications

  • Juris Doctor (JD) degree, membership in good standing of NY State Bar.
  • 2 to 4 years of experience in asset-backed securitization transactions at a top-tier law firm, fund, or investment bank that specializes in asset-backed structured products.
  • Strong decision making and communication skills. 
  • The ability to appropriately assess and manage legal and reputational risk and demonstrate sound judgement in the resolution of such matters.
  • Ability to thrive in a fast-paced, ever-changing and open-office environment.
  • Ability to prioritize efficiently and manage a complex time sensitive workload.
  • Ability to work in a collaborative setting as a member of the residential opportunities legal group and independently manage initiatives to completion.
  • Excellent organizational skills, attention to detail and accuracy.
  • Willingness to learn new areas of law to cover new businesses and initiatives.

The base salary for this position is expected to be between $200,000 and $250,000. The base salary offered to the chosen candidate will be commensurate with a candidate’s relevant experience and other qualifications for the position, as determined by the Company in its sole discretion. In addition to base salary, this position is eligible for an annual discretionary bonus and a robust benefits package.
