Incorporated in 1964, Daiwa Capital Markets America Inc. (“DCMA”) is a New York-based registered securities broker-dealer, a futures commission merchant, a primary dealer of U.S. Treasury securities, and a member of the New York Stock Exchange and other major U.S. exchanges. Our main focus is on the sales and trading of Japanese, Asian, and U.S. equities, fixed income instruments, financial futures, and investment banking for institutional customers. Position Summary:

DCMA’s Legal team is seeking an Associate General Counsel to provide legal advice to DCMA’s FICC Division, Operations, Credit and Finance teams with respect to transactional master agreement documentation.  In addition, this role will also work on documentation related projects as well as providing general legal advice in the context to trading documentation.  This associate-director level position will report to the General Counsel and Corporate Secretary, with additional oversight and guidance from the Director, Securities Transaction Counsel, and will be a key member of a collaborative and dynamic team that values integrity and excellence.

Responsibilities:

  • Assist in the drafting, reviewing and negotiating of market trading agreements in support of the Equities and the Fixed Income Divisions activities, including but not limited to MSFTAs, MSLAs, GMRAs, MRAs, non-disclosure agreement and other ancillary documents as required. 
  • Liaise with Operations, Credit and Trading/Sales to accurately reflect the necessary credit, operations and business terms in the agreement.
  • Assist in the review and negotiation of various commercial and vendors agreements. 
  • Assist in small to medium projects within the Legal Department. 
  • Assist attorneys with various documentation and projects. 
  • Stay up to date on all relevant laws and regulations to ensure compliance.
  • Work on range of matters relating to the business including participating in internal and external working groups.


Qualifications:

  • Admission to New York bar in good standing.
  • 4+ years of corporate legal experience and/or previous in-house experience valuable.
  • Top academic and professional credentials.
  • Experience with financial services clients, ideally institutional broker-dealers in cross-border context, with a willingness to learn new areas.
  • Experience working in a team environment.
  • Strong written and oral communication skills, with close attention to detail.
  • Demonstrated ability to handle matters independently. 
  • Ability to manage multiple responsibilities is a plus.
  • Microsoft Office skills required.
