Senior Counsel
 

Position Summary

 

Reporting to the General Counsel, Canada (who is based in Toronto) you will work directly with the business units on a wide range of legal and compliance matters including large construction projects, other corporate and commercial transactions, contract drafting and review, employment law, real estate law, competition law, litigation management, regulatory matters, and other legal and compliance issues that are encountered in the operations of a soon to be public North American company. Construction project experience is required. Bilingualism (English and French) required. This position will be based in the company’s Laval, Quebec office, but will be a hybrid position.

 

Key Responsibilities:

  • Directly lead and manage various corporate and commercial transactions on behalf of the company, including large construction projects in Quebec.
  • Lead and be directly responsible for the preparation, review and negotiation of business contracts, in both the French and English language, across all Canadian jurisdictions. 
  • Directly lead and manage various provincial and federal regulatory legal and compliance matters and respond to regulatory investigations (including environmental and health & safety matters).
  • Meet with and advise senior management of the company on various business transactions and matters that arise in the normal course of business.
  • Interpret and advise on laws, rulings, and regulations for the company, including matters involving both the Canadian common law provinces and Quebec civil law.
  • Interaction with federal and provincial governmental authorities and departments as required, in both the French (if applicable) and English language.
  • Meet with and advise senior management of the company with respect to competition law and compliance matters that arise in the normal course of business.
  • Management of various corporate and subsidiary legal matters.
  • Examine factual and legal case law to make recommendations on the advisability of defending or prosecuting lawsuits and/or regulatory enforcement matters.
  • Manage and direct outside litigation counsel on various matters.
  • Directly lead and manage various other legal matters as required.
  • Conduct legal training with members of the company, including competition law and internal contract requirements and risk mitigation.
  • Travel:  10% (Canada and US), as and when required


Qualification Profile

 

Education and Work Experience:

  • J.D./LL.B. from a reputable law school.
  • Member in good standing and admission to the Bar of Quebec.
  • Minimum of 6 years’ relevant experience preferred, gained in a law firm and/or in-house at a multi-national company.
  • Excellent legal drafting and written communication skills.
  • Fluently bilingual in French and English.
  • Ability to operate in both a civil and common law jurisdiction.
