YOUR IMPACT
We are seeking an experienced and proactive Senior Corporate Counsel to lead our legal function in Europe. This is a key role within our growing legal team, and you will be responsible for delivering strategic legal guidance across a variety of corporate, commercial, and regulatory matters. As our first legal hire in the EU, you will have the opportunity to shape and expand our legal operations, helping to build a strong, customer-focused legal foundation across our European business. You will work closely with cross-functional teams, including Legal, Sales, and HR, to provide practical, business-oriented legal support, while also ensuring compliance with local laws and regulations. A strong preference is given to candidates who are fluent in both English and German.
Legal Strategy & Business Support: Provide pragmatic legal advice to business leaders across various functions, solving complex problems on a wide range of commercial, regulatory, and transactional matters.
Commercial Transactions: Lead the negotiation, drafting, and structuring of key commercial agreements, including customer and vendor contracts, SaaS agreements, and data processing agreements (DPAs). Ensure that contracts align with both business objectives and legal requirements.
Data Privacy & Regulatory Compliance: Advise on European data privacy laws (including GDPR), regulatory compliance matters, and associated risks. Support our HR and other teams on labor law and data privacy-related issues.
Cross-Functional Collaboration: Work closely with Sales and other departments to mitigate risk and drive Redwood’s growth in Europe, ensuring that legal considerations are integrated into business decisions.
Corporate Governance: Oversee the governance of Redwood’s European legal entities, including the preparation of board meeting materials, drafting minutes and resolutions, and ensuring compliance with local corporate governance requirements.
General Counsel Partnership: Partner with the General Counsel and other senior leadership to contribute to Redwood’s global legal strategy and manage cross-border legal initiatives.
YOUR EXPERIENCE
Experience of in-house legal experience, ideally with SaaS and data privacy expertise. Experience in a fast-growing technology company or a software environment is a plus.
Fluency in both English and German, with exceptional writing and communication skills in both languages, including the ability to advise on externally-facing matters and draft legal documents.
Commercial & Contractual Expertise: Proven experience in negotiating complex commercial contracts, including SaaS agreements, data protection agreements, and vendor contracts. Strong ability to influence business decisions through legal expertise.
Solid knowledge of European regulatory frameworks, including GDPR, intellectual property, labor laws, and corporate governance. Familiarity with mergers and acquisitions is also a plus.
Demonstrated ability to build effective working relationships with colleagues across departments, especially Sales, HR, and senior management.
Strategic Thinking: High degree of independence and initiative, with the ability to think creatively and make decisions in ambiguous or high-pressure situations.
Business Judgment: Excellent business acumen, with the ability to prioritize legal risks and opportunities in a fast-moving, dynamic environment.
Exceptional interpersonal and communication skills, with the ability to advise senior management and influence key stakeholders.
Ethical Integrity: A strong commitment to the highest standards of legal and ethical conduct, with a focus on integrity and transparency in all aspects of work.
Multicultural Sensitivity: Familiarity with working in diverse, international environments and an ability to navigate cross-cultural dynamics.
Some travel across Europe will be required as part of the role as well as travel to the US.
