Role Overview:

Acting as a key business partner to Industrial Automation’s businesses in the Americas region and working alongside the Americas Leadership team, the Head of Legal & Compliance provides a critical role in the provision of legal and compliance advice, to ensure that our Americas businesses manage contractual, legal, compliance and business risks appropriately and in accordance with applicable law and company policy. 

With a primary focus on commercial and compliance work, the nature of the business means that the work will be of an international and diverse nature.

Location:  Prefer Candidates in the Greater Chicagoland area able to commute to our University Park facility on a hybrid schedule.  

Key Responsibilities
Generalist Legal Expertise & Guidance

  • Providing strategic guidance on legal, compliance, commercial and business risks for Industrial Automation’s Americas businesses.
  • Identifying and mitigating legal risks or concerns and ensuring that significant issues are recognised and addressed. 
  • Leading on disputes and imminent or pending litigation, arbitration and regulatory matters, including the development of dispute resolution strategies.
  • Identifying opportunities for and conducting training on all areas of legal and compliance policy and ensuring that full and adequate training records are kept.
  • Overseeing and managing the instruction and management of external counsel.
  • Ensuring good corporate governance and assisting with statutory corporate changes.
  • Engaging with other lawyers and compliance professionals across the IMI legal and compliance community, ensuring that such persons are well briefed, as appropriate, and that there is a good level of sharing of ideas, team working and continuous improvement across the legal and compliance function.

Contractual Support & IP

  • Promoting good practice in terms of contract management processes and intellectual property protection.
  • Providing legal guidance and support on all types of commercial contracts and contracting matters including the drafting and negotiating of complex contracts as well as supporting the Americas businesses with completing quotation/contract approval requests in line with our SOPs and guidelines. 
  • Advise and assist in relation to commercial property matters in conjunction with external legal support where necessary. 

Compliance

  • Promoting a culture of ethical behaviour and compliance.
  • Providing legal guidance and support in relation to the compliance programme covering anti-bribery and corruption, trade compliance, data privacy and competition law.
  • Monitoring regulatory changes and assessing their impact on the organisation.
  • Assisting with the implementation, monitoring and auditing of IMI legal and compliance policies and SOPs.
  • Ability to run investigations on compliance related issues.

Critical Competencies for Success

  • Qualified lawyer with a minimum of 10 years work experience in a legal capacity, working in a commercial in-house multinational legal environment (preferably in an engineering and/or manufacturing business).
  • Ability to establish, maintain and influence effective and proactive working relationships with the senior management team, other key stakeholders and with external customers.
  • Ability to manage complex legal and compliance matters and guide the organisation through legal challenges.
  • Ability to work effectively independently and as a team member with excellent communication skills. 
  • Strong analytical and problem solving abilities.  
  • Willingness to travel in the region.

Pay range:  $200k - $220k

Within the range, individual pay is determined based on skills, experience, and qualifications as they relate to the job requirements. In addition to base salary, this position is eligible to receive a variable incentive pay component. Base pay information is based on market location and may be subject to prevailing wage laws, if applicable.
